Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by N Data Systems ("Company," "we," "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

N Data Systems provides managed IT services, co-managed IT solutions, cybersecurity services, AI and automation consulting, network infrastructure design, and strategic IT consulting. Specific services are defined in individual service agreements.

3. Service Agreements

Detailed terms for specific services will be outlined in separate Service Level Agreements (SLAs) or Statements of Work (SOWs). In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information as required
  • Maintain the confidentiality of account credentials
  • Promptly notify us of any security breaches or unauthorized access
  • Use our services in compliance with all applicable laws and regulations
  • Ensure proper licensing for all software within your environment

5. Payment Terms

Payment terms are as specified in your service agreement. Unless otherwise stated:

  • Invoices are due within 30 days of issuance
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for overdue accounts
  • All fees are non-refundable unless otherwise specified

6. Intellectual Property

All intellectual property rights in our services, tools, methodologies, and documentation remain the exclusive property of N Data Systems. Clients retain ownership of their data and proprietary information.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the service relationship. This obligation survives the termination of the agreement.

8. Limitation of Liability

To the maximum extent permitted by law, N Data Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the cause of action.

Our total liability shall not exceed the fees paid by the client in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless N Data Systems, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

10. Termination

Either party may terminate the service relationship with 30 days written notice unless otherwise specified in a service agreement. We reserve the right to terminate services immediately for breach of these terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Nacogdoches County, Texas.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email. Continued use of our services constitutes acceptance of updated terms.
